Constituencies Development Fund Act 2013.

Corporation Secretary

Job Profile
The Corporation Secretary will be responsible to the Chief Executive Officer for the following duties:-
- Provides secretariat
services to the Board, including organizing, preparing agenda, taking
minutes of the Board meetings and communicating promptly decisions made,
for appropriate action or implementation
- Ensures proper
procedure for appointment of directors.
- Assists in the
proper induction of directors and assesses their specific training needs
relative to the statutory and regulatory requirements
- Provides
comprehensive practical support and guidance to directors in their
individual capacities in addition to guiding all of them collectively
- Ensures unhindered
access to information by all Board and committee members to maximize their
ability to contribute to Board meetings, discussions and decision making
etc
- Compiles Board
papers and filters them to ensure compliance with good corporate
governance.
- Ensures compliance
with all relevant statutory and regulatory requirements and that due
regard is given to specific organizational interests of the Board.
- Assists in the
implementation of corporate strategies by ensuring that the Board’s
decisions and instructions are properly communicated to relevant parties
and implemented.
- Provides guidance
and advice within the Board on matters of business ethics and good
governance
- Facilitates smooth
operation of the Board’s formal decision making and reporting machinery,
organizing Board and Board committee meetings.
- Monitoring and
keeping in place procedures which allow for compliance with relevant
regulatory and legal requirements.
- Handles Board’
litigation matters
- Provide advice to
the Board on legal and governance implications of proposed policies and/
or decisions.
- Draws Boards
contracts
- Regularly reviews
contractual agreements to ensure adherence to the terms therein
- Identifies
regulatory requirements and collaborates with other departmental heads to
ensure enforcement of these requirements.
- Custodian of the
Board’s official seal and responsible for its use
- Any other duties as
may be assigned from time to time by the Chief Executive Officer and the
Board.
Qualifications and
Competencies
To
qualify for appointment to this position, applicant must satisfy the following
requirements:-
- Be a Kenyan citizen
- Hold a Bachelor of
Law degree from a recognized University
- A Masters in Law or
other relevant field will be an added advantage
- Be an advocate of
the High Court of Kenya
- Be a registered
member of the Institute of Certified Public Secretaries of Kenya
- Have a least eight
(8) years experience, five (5) of which must be at senior management level
- Satisfy the
requirements of Chapter 6 of the Constitution of Kenya 2010 on Leadership
and Integrity
- Have excellent
knowledge of corporate, regulatory, rules and norms
- Have strong
management and negotiation skills
- Have excellent and

Job Profile
The Internal Auditor will be responsible to the Chief Internal Auditor for the following:-
- Implements the
organizations internal audit plans
- Conducts exposure
assessment and advising on the strategies to mitigate against the risks.
- Advises management
on the extent of compliance with government laws and regulations with
respect to the CDF Board operations.
- Conducts systems
review to determine the effectiveness of Risk Management and adequacy of
the internal control systems.
- Follow-up reviews
and assessment of the implementation of management action plans to address
internal control deficiencies
- Reports and
communicates audit findings to the management and the Board Audit
Committee through the Chief Internal Auditor.
- Conducts
investigations on reported irregularities.
- Timely preparation
and submission of audit reports.
Qualifications and
Competencies

- Be a Kenyan citizen
- Holds a Bachelor’s
degree in Commerce (Accounting Option) or its equivalent.
- A Master of Business
Administration (MBA) or its equivalent will be an added advantage

Institute of Certified Public Accountants (ICPAK) or its equivalent from a
recognized accountancy professional body.

Duties and Responsibilities
The Assistant Legal Officer will be responsible to the Corporation Secretary for the following:-
- Assists in provision
of legal advice to the CDF Board and its committees
- Assists in the
facilitation of dispute resolution process between the various agencies of
the CDF Board
- Assists in provision
of secretariat services to the complaints and Arbitration Committee of the
Board
- Assists in the
handling of corruption-related issues in liaison and close consultation
with all corruption prevention agencies and stakeholders
- Assists in
coordinating representation of the CDF Board in courts in the event of
litigations
- Assists in provision
of legal advice to the CDF Board on contractual matters and
- Assists in advising
CDF Board on compliance of issues.
Qualifications and
Competencies

degree in Law

Job Profile
The Fund Account Manager will be responsible to the National Programme Coordinator through the Regional Coordinator for the following:-
- Serve as an
ex-officio member and secretary to the Constituency Development Fund
Committee
- Preparation and
submission of books of accounts and other operational and financial
reports
- Maintenance of
minutes, records and information relating to CDF projects implemented in
the constituency
- Custodian of CDF
Committee Assets and maintain a register of assets and liabilities of the
Committee.
- Liaises with Heads
of Technical Departments of government in the management of CDF projects
- Offers professional
advice to Project Management Committees.
- Prepares and maintains
a list of all constituency projects for submission to the CDF Board in
accordance with the Constituencies Development Fund Act 2013.
- Prepares Community
Action Plans, Annual work plans, budgets and strategic plans through
participatory approaches
- Guides the
Constituency Development Fund Committee (CDFC) and communities on project
management.
- Networking and
collaboration with development partners operating in the constituencies to
avoid duplications and overlaps.
- Holder of Authority
to Incur Expenditure (AIE) for the CDFC funds in the Constituency
- Supervises the CDFC
staff in the execution of their duties
Qualifications and
Competencies
For appointment to this position, the candidate must be in possession of the following qualifications:-
- Be a Kenyan citizen
- Be a holder of
Bachelors degree in Commerce, Economics, Finance or Business related field
from a recognized University
- At least CPA part II
or equivalent
- Have proficiency in
basic computer software applications
- Have experience in
similar position for at least three (3) years
- Be of high integrity
and with no criminal record.
- Competent in oral
and written presentation both in English and Kiswahili
- Post - graduate
qualification in Project Management or Skills in community development
will be an added advantage
