Our client is a leader in the Chemical and gas Industry and seeks to recruit a suitable candidate for the position of Legal Officer.
The overall purpose of the role:
- Head the legal and compliance
department
- Address all legal, compliance,
and governance matters including legal implications to commercial
transactions that affect the company’s internal and external stakeholders,
regulators and industry associations.
Reporting
to: Chief
Operating Officer
Duties and Responsibilities
- Provide legal advice on
commercial and corporate legal transactions.
- Draft, review and negotiate
desirable terms for all commercial contracts these include: sales,
supplier, and contractors legal transactional documents.
- Assist with due diligence related
to commercial contracts, agreements, and other legal transactional
matters.
- Engage with the industry
associations on Company compliance matters and update the COO.
- Engage regulators on company
compliance matters and update the COO.
- Provide a legal service to all
internal stakeholders.
- Ensure adherence to corporate
legal compliance.
- Maintain compliance with all
relevant laws and regulations across the business.
- Manage communication with
external legal officers if required and monitor the work being carried out
by them.
- Follow up with company
secretarial enquiries that have a legal standing.
- Attend and represent the company
at commercial legal meetings.
- Treat all information about the
Company and its business as confidential.
- Keeping up to date with changes
in the law.
- Any other duty other duties
assigned by management.
Minimum
Qualifications
- Bachelor of Law degree from a
recognized institution.
- A Postgraduate Diploma in Law
from the Kenya School of Law.
- Admission as an Advocate of the
High Court of Kenya.
- A valid practising certificate.
- At least 5 years of professional
experience in a reputable commercial law firm/department
- Membership with the Law Society
of Kenya in good standing.
- Proficiency in computer skills
and good working knowledge of modern information, communication and
technology systems.
- Knowledge of alternative dispute
resolution mechanisms.
