Secretary Job in Kenya

Our client, a well-known company in the logistics industry in Kenya is looking for an experienced, results-oriented and energetic individual for the following position:
 
Job Title: Company Secretary
 
Job Summary: The job holder shall be required to work in collaboration with the Board of Directors, providing high level support, playing an advisory role, assisting with the development of policies and guidelines for the Group of companies and monitoring and ensuring compliance with Corporate Governance, regulatory and statutory requirements as well as other legal and relevant developments.
 
Main Duties
 


The following duties and responsibilities are attributed to this position:
  • Organizing and preparing agendas and papers for Board meetings, committees and other high level meetings as required
  • Providing secretarial services to the Board of Directors including taking minutes, drafting resolutions following up on actions from meetings
  • Monitoring changes in the relevant legal and regulatory environment and taking appropriate action including overseeing systems/processes that ensure the Group complies with all applicable laws
  • Providing leadership in corporate governance
  • Management of litigation for and against the Group companies including stewardship of external counsel
  • Liaising with external regulators and advisors such as lawyers and auditors among others
  • Providing appropriate advise, legal and business support to the Group Companies leadership
  • Overseeing policies, making sure they are kept up to date and referred to the Executive for approval, and advising members of the legal, governance, accounting and tax implications of proposed policies
  • Advising on employment/employee-related matters and on the management of internal disputes between employees and the Group companies
  • Commercial contract negotiation, management and supporting various functions in the business
  • Dealing with correspondence and writing reports, ensuring decisions made are communicated to the relevant stakeholders
  • Maintaining statutory books, including registers of members, directors and secretaries
  • Dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant company stakeholders
  • Contributing to meeting discussions as and when required
  • Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action
  • Liaising with external regulators and advisers such as lawyers and auditors
  • Managing matters related to insurance and property including interpretation of fine print
  • Development and delivery of high-level business information/data relating to business activities to the Board and other stakeholders
  • Monitoring and ensuring compliance with Corporate Governance, regulatory and statutory requirements as well as other legal and relevant developments, and developing and overseeing the implementation of and adherence to systems that ensure the Group of Companies comply with the same
  • Identifying and meeting management information requirements for the measurement of legal risk exposure, performance (both of internal and external legal resources) and productivity
  • Management of a database of information on the Group Companies and Directors
  • Constantly seeking to improve ways of working by challenging the status quo and supporting an empowering climate within the teams, sharing knowledge, experience, best practice and providing constructive feedback as required
  • Any other duties as may be allocated from time to time
Academic & Professional Qualifications 
  • Bachelor’s degree in Law
  • Certified Public Secretary (CPS-K)
  • Advocate of the High Court of Kenya with a valid practicing certificate
  • A good understanding of Company Law
  • Sound legal and Company Secretarial Knowledge
Skills & Work Experience 
  • At least 7 years of experience with at least 3 years post-admission experience in a reputable organization with a strong commercial law focus and a good appreciation of corporate law
  • Proficiency in the Microsoft Office Suite of Packages (Word, Excel, PowerPoint etc.)
  • Experience in Company Secretarial practice
  • Experience of working with Directors, the C-Suite and Senior Management level executives
