Company Secretary
Ref: HRD/CS/12/15
Reporting to the Chief Executive
Officer, the successful candidate will be responsible for legal, company
secretarial, regulatory, compliance and Kenya Hospital Association membership
matters.
- Providing legal advice to the Board and
Management of the Hospital.
- Ensuring compliance with legal and regulatory
requirements.
- Assisting in preparation of Board Committee
work plans.
- Ensuring timely preparation and circulation of
Board and Committee papers and taking minutes at meetings.
- Coordinating Board governance audit processes
and implementation of the Board Charter.
- Facilitating Board evaluation, induction and training.
- Ensuring safe custody of Hospital seal and
other relevant documents.
- Maintaining and protecting the Hospital’s
intellectual property.
- Liaising with external lawyers and attending
court hearings.
- Preparing legal documents including contracts
and leases.
- Administering Kenya Hospital Association
membership and ensuring that membership records are up to date.
- Reviewing membership schemes and facilitating
members welfare when seeking services.
Qualifications, Skills and Experience
- Bachelor of Laws degree
- Certified Public Secretary.
- Advocate of the High Court of Kenya with
current practice license.
- Member in good standing of Law Society of
Kenya and of Institute of Certified Public Secretaries of Kenya.
- 8 years work experience, 3 of which must be in
a senior management role.
- High personal integrity.
- Sound advisory capability.
- Excellent analytical and reporting skills.
- Effective communication skills.
