Our client, a well
established Risk and Financial Solution provider Headquartered in Nairobi with
operations in Kenya, Uganda and Tanzania is seeking for a qualified Company Secretary.
The incumbent will
report to the Managing Director and the Chairman of the Board.
Job Objective
The position plans,
administers and reviews corporate compliance activities and effective practice
concerning
company Board meetings and ensures all business matters and transactions are managed and implemented as directed by the Board.

Duties and
responsibilities:
- Ensure
effective communication between the management, the Board of Directors and
shareholders.
- Make
follow ups on implementation of Board decisions.
- Keep
the Board informed of their relevant legal and corporate governance
responsibilities.
- Prepare
board agenda with the Managing Director and the Chairman of the Board and
notifies the board members.
- Ensures
that the board papers are prepared and delivered to board members within
agreed timeframe.
- Ensure
that Annual General Meetings are held according to the Companies Act and
Company’s Articles of Association.
- Organize
for Board meetings and take minutes during the meetings.
- Ensure
that the company complies with legal and statutory requirements.
- Advise
line managers on legal matters relating to their day to day work.
- Provide
Company wide human resources support.
Person specification
- Bachelor
of Laws Degree (LL.B); a Masters Degree in Law (LL.M) is an added
advantage.
- Certified
Pubic Secretary (CPS K).
- Must be
a member of ICPSK and in good standing.
- Knowledge
of insurance law is an added advantage.
- Degree
or Higher Diploma in Human Resources Management
- Five
years’ experience as a Company Secretary in a medium size company.
- Must
have experience in basic Human Resources Management.
