In-house Legal Counsel
Basic Function

We’re seeking to fill the following position in the Group.
In-house Legal Counsel
Basic Function
- Providing legal advisory and interpretation services to the management and board to ensure statutory compliance with existing law and regulatory requirements.
- Counsel will represent the company and participate in
deal structure and proposal evaluations, review proposed transactions and vendor documents for adherence to company’s policies and procedures.
Accountabilities
- Counsel will be primarily responsible for evaluating, structuring and negotiating transactions, and for working with business teams and outside counsel to draft and negotiate terms of legal agreements and implementing these transactions.
- Draft, review, and negotiate a variety of commercial transactions, including but not limited to: license agreements, co-branding agreements, confidentiality agreements, content distribution agreements, NDAs, vendor agreements etc.
- Negotiate, draft, and review agreements relating to acquisitions, divestitures, as well as distribution and sales agreements.
- Advise on general corporate matters, provide legal expertise for commercial transactions including supply chain responsibilities, and oversee outside counsels in corporate and commercial transactions.
- Dealing with matters concerning insurance policies and claims thereto.
- Providing advise on any litigations affecting the company.
- Coordinating the legal aspects of Wananchi Group conveyance work and expropriation activities.
- Carry out company secretarial activities and be the custodian of Wananchi Group legal documents including company register, seat and title deeds, leases and contracts.
Qualifications, Skills and Experience
- A Bachelor’s degree in law backed by a recognized post-graduate professional qualification in law and be an advocate of the High Court of Kenya.
- Possession of a Certified Public Secretary, CPS(K) qualification would be an added advantage.
- Previous practical experience gained from acting as a Company or Board secretary is desirable.
- A minimum of five (5) years experience, three (3) of which should have been gained at a senior management level.
- Experience in a broad range of corporate transactions including M&A, and complex commercial contracts, including supply and distribution agreements.
- Demonstrated success counseling clients and structuring large sophisticated transactions with a top tier law firm and in-house Legal setting.
- Experience advising clients on structuring transactions and business development deals as the primary attorney on client matters is a must.
- Must have significant experience drafting and negotiating a broad variety of commercial and corporate agreements concerning the distribution and development of consumer products/services.
- Several corporate transactions may be cross-border in nature; so prior experience with structuring and negotiating international deals is preferred.
- Must possess strong business judgment and the ability to understand and respond to business issues and needs.
- A strong commitment to excellence and high standards of integrity, professionalism, loyalty, honesty, respect, open mindedness, open communication, respect, and business ethics is required.
