Accountants Act, No.15 of 2008 and the Certified Public Secretaries of Kenya
Act, Cap 534 of 1988 with the mandate to develop syllabuses, conduct
professional, diploma and technician examinations; certify candidates in
accountancy, finance, credit, governance and management, information
communication technology and related disciplines; promote its qualifications
globally and accredit relevant training institutions.

One position
The Corporation Secretary / Head of
Legal will be expected to provide advice to the Board and Management on
governance, corporate secretarial services, legal and regulatory and compliance
matters.
Key duties and responsibilities
Reporting to the Chief Executive
Officer, the Corporation Secretary/Head of Legal will be responsible for:
- Advising the Board on their duties and
responsibilities, obligations, relevant laws and governance matters.
- Coordinating the governance audit process and
implementation of the Code of Conduct and Ethics.
- Ensuring preparation and timely circulation of
Board and Committee papers and taking minutes thereof.
- Assisting in preparation of Board and
Committee work plans and charters.
- Assisting in carrying out Board evaluation and
Board induction and training.
- Keeping safe custody of the seal and other
relevant documents.
- Preparing legal advice and opinion and
handling legislation and litigation matters relating to KASNEB.
- Ensuring compliance with laws, rules and
regulations by the Board and management.
- Preparing Intellectual Property Rights Policy
and guidelines for the products and services of KASNEB.
- Vetting and drafting legal documents including
contracts and leases.
- Liaising with external lawyers handling legal
matters on behalf of KASNEB and attending Court hearings.
Qualifications and Experience
The ideal candidate shall possess the
following:
- Masters degree in Law or other social science
discipline from a recognised university.
- Bachelors degree in Law from a recognised
university.
- CPS graduate and member in good standing of
Institute of Certified Public Secretaries of Kenya (ICPSK).
- Post-Graduate Diploma from the Council for
Legal Education/ Kenya School of Law.
- Be an Advocate of the High Court of Kenya with
a current practicing certificate.
- Be a member in good standing of the Law
Society of Kenya (LSK).
- At least eight (8) years relevant working
experience in senior management and practice as an Advocate.
- Must satisfy the provisions of Chapter Six of
the Constitution of Kenya, 2010.
- Advanced computer skills.
